Terms of Service & Privacy Policy

TropicDrive LLC ("TropicDrive," "we," "us," or "our") operates an online travel platform that enables customers to search for, compare and book car rental services offered by independent car‑rental suppliers ("Suppliers"). These Terms of Service ("Terms") and the accompanying Privacy Policy (collectively, the "Agreement") form a legally binding contract between you ("User," "you," or "your") and TropicDrive. By accessing or using our website, mobile application or any related service (collectively, the "Platform"), you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree to these Terms, you must not access or use the Platform.

Part I – Terms of Service

1. About TropicDrive

1.1 Intermediary Role

TropicDrive is a booking intermediary. We provide a Platform that allows you to compare offers from various Suppliers and to book car‑rental services and related travel products. TropicDrive does not own or operate any vehicles. When you make a booking through our Platform, you enter into a rental agreement directly with the Supplier, not with TropicDrive. The Supplier is solely responsible for providing the vehicle and for fulfilling the rental contract, including insurance coverage, vehicle condition, and compliance with applicable laws.

1.2 Other Documents

In addition to these Terms, other documents may apply to your booking. The Supplier's rental agreement, terms and conditions, insurance policies, cancellation policy and any special conditions presented during the booking process (together, the "Supplier Terms") govern your use of the vehicle and other services. You must read and agree to the Supplier Terms before completing your booking.

1.3 Separate Supplier Agreements

TropicDrive maintains separate commercial agreements with each Supplier that govern our relationship with them. Those agreements are between TropicDrive and the Supplier; they do not create any contractual relationship or rights for Users.

2. Definitions

For ease of reference, the following terms have the meanings below:

Booking:
A reservation made through the Platform for car‑rental services offered by a Supplier.
Content:
All information, text, graphics, reviews, ratings, software and other materials displayed on or provided through the Platform.
Supplier:
Any independent car‑rental company or other service provider that lists vehicles or travel products on the Platform.
User:
Any individual or entity that uses or accesses the Platform, including customers making bookings.
Voucher:
The booking confirmation issued by TropicDrive, which includes details of the rental and must be presented to the Supplier at pick‑up.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform. Some Suppliers may impose higher minimum age requirements or additional driver‑licence conditions. You are responsible for ensuring that you meet the Supplier's requirements.

3.2 Account Creation

Certain features of the Platform require registration. When creating an account, you must provide accurate, current and complete information. You agree to update your account information promptly if it changes. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.3 Verification and Anti‑Fraud Checks

TropicDrive and our Suppliers may perform identity, driver‑licence and payment verification checks, as well as anti‑fraud and anti‑money‑laundering screenings. By using the Platform, you agree to cooperate with these checks and to provide any information reasonably requested to verify your identity or eligibility. Failure to comply may result in cancellation of your booking or termination of your account.

4. Use of the Platform

4.1 Licence to You

TropicDrive grants you a limited, non‑exclusive, non‑transferable licence to access and use the Platform for personal, non‑commercial purposes. Except as expressly permitted by TropicDrive, you may not copy, modify, distribute, sell, or lease any part of the Platform or reverse engineer or attempt to extract the source code of the software.

4.2 Prohibited Conduct

You agree that you will not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law.
  • Upload or transmit any malicious code, viruses or other technologies that may harm the Platform or its users.
  • Scrape, crawl or harvest data from the Platform for commercial purposes without our prior written consent.
  • Make fraudulent or fake bookings, resell or exploit the Platform commercially, or impersonate any person or entity.
  • Interfere with or disrupt the operation of the Platform or misuse reviews or ratings.
  • Use the Platform in a manner that causes nuisance, harassment or damage to TropicDrive staff, Suppliers or other users.

4.3 User Content

If you submit reviews, ratings, photos or other Content to the Platform, you represent that your submission is truthful, does not infringe any third‑party rights, does not contain malware, and complies with our content standards. You grant TropicDrive a worldwide, royalty‑free, perpetual licence to use, copy, modify, publish, translate, and display your Content in connection with operating and marketing the Platform. You remain solely responsible for your Content and agree to indemnify TropicDrive for any claims arising from it.

5. Our Role and Responsibilities

5.1 Information from Suppliers

We display information about vehicles, prices, policies and other services as supplied to us by Suppliers. While we use reasonable care and professional diligence to ensure information is accurate, we do not warrant that all descriptions, availability or pricing are error‑free. Obvious misprints or errors (e.g., a premium car listed at $1/day) are not binding, and we reserve the right to correct or cancel any Booking based on such errors.

5.2 No Endorsement

Listing of a Supplier or vehicle on our Platform does not constitute an endorsement or recommendation of that Supplier, its services or its vehicles. You are responsible for reviewing the Supplier Terms and ensuring the vehicle meets your needs.

5.3 Service Availability

We strive to ensure the Platform is available, secure and functioning properly; however, we do not guarantee continuous access without interruptions. We may change, enhance, or suspend parts of the Platform at any time without notice. We may also block or restrict access for users who abuse the Platform or conduct unreasonable volumes of searches.

6. Bookings and Payment

6.1 Booking Process

When you make a Booking, you will be asked to provide details such as pick‑up and drop‑off dates, location, vehicle class and any extras (e.g., child seats). During the booking process we will show you the Supplier's policies, including cancellation rules, age restrictions, deposit requirements and other important conditions. You must review and accept these policies before confirming your Booking.

6.2 Reservation Fee

TropicDrive may collect a reservation fee or deposit when you book. This fee is collected by TropicDrive as agent for the Supplier and constitutes full settlement of the amount due to the Supplier for the reservation. Depending on the Supplier, you may need to pay the rental cost, taxes, insurance and additional fees directly to the Supplier when you pick up the vehicle. The currency used for your payment may differ from your payment method's default currency; your bank may charge conversion fees or apply its own exchange rate. We are not responsible for any currency‑conversion differences or fees charged by your bank.

6.3 Security Deposits

Some Suppliers require a security deposit or pre‑authorization on your payment card at pick‑up. Deposits are handled by the Supplier according to its terms and may be blocked or released at different times. TropicDrive does not collect or hold security deposits and is not responsible for the timing or release of such funds.

6.4 Customer Obligations

When making a Booking, you must provide accurate personal and payment information. You are responsible for ensuring that all data (names, contact details, driver's licence information, etc.) is correct. TropicDrive is not responsible for consequences arising from mis‑entered or misspelled information.

6.5 Cancellations and Modifications

When booking through our platform, we offer free cancellations up to 48 hours before the scheduled pickup date and time. If you cancel within 48 hours of the pickup time, the reservation fee paid to TropicDrive will not be refunded. If you fail to arrive on time or do not pick up the vehicle, the Supplier may classify your Booking as a no-show and charge a cancellation or no-show fee. TropicDrive is not responsible for these charges.

6.6 Changes by TropicDrive or the Supplier

In rare cases, we or the Supplier may need to modify or cancel your Booking due to factors outside our control (e.g., overbooking, vehicle unavailability, supplier closure). We will notify you as soon as possible and offer alternative options or a refund of amounts collected by TropicDrive. We are not liable for any indirect losses or additional costs (such as travel expenses) arising from such changes.

7. User Conduct and Values

7.1 Compliance with Laws

You agree to comply with all applicable laws, regulations and traffic rules when using the vehicle and the Platform. You must not use the vehicle for unlawful purposes, including transporting illegal goods or participating in races.

7.2 Anti‑Fraud Cooperation

You agree to cooperate with any anti‑fraud or anti‑money‑laundering checks carried out by TropicDrive or our Suppliers. We may request additional documentation (such as photo ID) or perform verification via third‑party services. If you refuse to provide required information or fail the checks, we may cancel your Booking and close your account.

7.3 Responsible Behaviour

You are responsible for the actions and behaviour of everyone included in your Booking. Please treat TropicDrive staff, Supplier personnel and other users with respect and refrain from abusive or inappropriate conduct. You agree not to cause damage to the vehicle, property or environment and will be liable for any damage beyond normal wear and tear.

8. Intellectual Property

8.1 Ownership

All intellectual property rights in the Platform (including software, design, logos, trademarks and Content) are owned by TropicDrive or our licensors. Your use of the Platform does not grant you any ownership rights. You may not use, copy, or display TropicDrive trademarks without our prior written permission.

8.2 Use of Content

You may view, print or download Content for your personal, non‑commercial use. You must not modify, reproduce, transmit or otherwise exploit any Content without TropicDrive's permission. We monitor visits to our Platform and may block users or automated systems that conduct unreasonable amounts of searches or scrape Content.

9. Liability and Indemnification

9.1 No Responsibility for Supplier Performance

The Supplier is solely responsible for providing the vehicle and fulfilling the rental agreement. TropicDrive does not control or guarantee the quality, safety, condition or availability of vehicles and is not liable for any damages, losses or inconvenience arising from the Supplier's actions or omissions.

9.2 Limitation of Liability

Except where prohibited by law, and except for our obligation to pay any amounts refunded to you as outlined in these Terms, TropicDrive's total liability for any claim arising out of or relating to your use of the Platform or a Booking shall not exceed the total amounts paid by you to TropicDrive in connection with that Booking. TropicDrive shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits or business, even if we have been advised of the possibility of such damages.

9.3 Indemnification

You agree to indemnify, defend and hold harmless TropicDrive, its affiliates, officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of this Agreement or the Supplier Terms; (b) your violation of any law or the rights of a third party; (c) your misuse of the Platform or the vehicle; or (d) any personal or property damage caused by you or anyone travelling under your Booking.

10. Termination and Suspension

10.1 By TropicDrive

We may, in our sole discretion, suspend, restrict or terminate your access to the Platform or cancel a Booking if we believe you have violated these Terms, the Supplier Terms or applicable laws; if we suspect fraud, abuse or security issues; or if required by law. Where practicable, we will provide notice prior to termination, but we may terminate without notice to protect ourselves or others. In such cases, our liability to you is limited to refunding any amounts paid to TropicDrive for unfulfilled Bookings.

10.2 By You

You may discontinue use of the Platform at any time. Deleting your account does not automatically cancel any existing Bookings; you must follow the cancellation procedure outlined in your Voucher. All provisions of these Terms that by their nature should survive termination will survive, including liability limitations and indemnity obligations.

11. Dispute Resolution and Governing Law

11.1 Customer Support and Complaints

If you have a question or complaint about your Booking, please contact our customer service team using the contact details in your Voucher or on the Platform. We encourage you to provide your booking confirmation number and a detailed description of the issue so we can assist you efficiently.

11.2 Informal Resolution

Most disputes can be resolved quickly by contacting us. If we cannot resolve your complaint to your satisfaction, you may pursue formal dispute resolution as outlined below.

11.3 Governing Law

This Agreement and any disputes arising out of or relating to it are governed by the laws of the State of Texas, USA, without regard to its conflict of law principles, unless mandatory consumer protection laws in your country of residence provide otherwise.

11.4 Jurisdiction

You agree that any legal proceedings (including court actions or small‑claims filings) arising out of or relating to this Agreement will be brought in the federal or state courts located in Travis County, Texas. TropicDrive and you each consent to the personal jurisdiction of these courts. Nothing in these Terms prevents you from seeking redress under mandatory consumer‑protection laws or, where applicable, using the European Commission's Online Dispute Resolution platform.

12. Changes to These Terms

TropicDrive may modify these Terms at any time to reflect changes in our services, applicable laws or other reasons. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date at the top of this document. Additional notification (e.g., email) may be provided at our discretion. Your continued use of the Platform after the changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel any existing Bookings.
